ARTICLES OF ASSOCIATION OF
ST. GEORGE'S ORTHODOX COUNCIL at Ramla

(Amendment of the Constitution's Foundation Law of 1924 according to Par. 19)

 

First Paragraph

Name:              St. George's Orthodox Council at Ramla

                        That will be called for short "the association".

                        The association is a legal entity enjoying of all rights and powers according to the law, including to buy, to sell, to mortgage, to lease movable and immovable assets, to undertake and to sign on contracts, agreements and legal and official documents, to receive donations, presents, legacies according to testaments, everything according to the Articles of Association.

 

Second Paragraph

Address:           Greek Orthodox Monastery, Jan Masrik St., Ramla, or P.O.Box 139 Ramla, or as it will be decided by the administration of the Association from time to time.

 

Third Paragraph

Slogan:             "Blessed are the merciful people because they have mercy" (Mateus, Chap. 5, 7).

 

Fourth Paragraph

Purposes of the Association:     Social, cultural and spiritual charity, performed in various ways and especially:

 

a.   To help the poor and needy people of the Orthodox Congregation in Ramla, as it is possible.

 

b.   To grant scholarships to the needy students of the congregation in Ramla.

 

c.   To act in order to raise the social, cultural and spiritual level of the Orthodox Congregation members, and this by lectures, conventions, etc.

 

d.   To act in order to establish a Christian Cultural Center in Ramla – the Center will be under the Association's ownership and its supervision.

 

e.   To act in order to establish kindergartens and elementary and high schools for the members of the Orthodox Congregation in Ramla.

 

f.    To protect the Association's assets and the holy places of the congregation, such as cemeteries and others.

 

g.   To participate with the members of the congregation in their joyous occasions and in their bereavement.

 

h.   To cooperate with orthodox and non-orthodox associations, institutions and clubs in order to realize the objectives of the Association.

 

i.    Substantial and spiritual support of any humanitarian project, and charity as it will be possible, and especially if it is orthodox.

 

Fifth Paragraph - Members of the Association and their rights

a.   It is the right of any Orthodox Christian to be a member of the Association if the following conditions should take place:

1.      That he/she resides in the city of Ramla.

2.      That his/her age will be less than eighteen years.

3.      That he/she has paid the membership fees owed by him/her.

b.   Every member whose age is not less than twenty three, has the right to propose his candidacy for the committee of the Association on condition that he/she shall be a member of the Association for at least three continuous years.

 

c.   Every member that has paid his/her membership fees has the right to participate in the elections of the Association's committee members.

 

d.   Every member has the full rights if he/she has paid the membership fees owing by him/her, should he/she cease paying the membership fees, he/she will have the right to renew his/her membership and to be considered as a member with full rights, on condition that he/she has paid the membership fees every year.

 

Sixth Paragraph – General Assembly and its rights

a.   The General Assembly will consist of members of the Association that have paid their membership fees and it constitutes the supreme authority of the Association.

 

b.   The General Assembly will be legal by the presence of the majority of its members, i.e. 51% (fifty one percent) and up.

 

c.   The members of the committee will summon all the members of the Association who have paid their membership fees by written personal invitation to each member to appear at the General Assembly. On this invitation, the date and place of the Assembly will be indicated, and this at least two weeks before the date of the holding of the assembly.

 

d.   Should the majority of the members of the Association - who paid their fees - not be present, then the General Assembly will be postponed for a week, and the assembly will take place at the same venue and time and will be considered legal with the presence of any number of participants.

 

e.   The resolutions of the General Assembly will be legal and binding on condition that they were accepted by the majority of the members that were present at the assembly.

 

f.    The General Assembly will be convened at least once a year.

 

g.   One third of the members of the Association - who paid their fees – has the right to submit an application in writing to the members of the committee to convene an emergency meeting of the General Assembly, and will indicate on it the rationale for the convening of the General Assembly, and the members of the committee will be obliged to convene the assembly up to fifteen days from the date of submission of the application.

 

Seventh Paragraph – Members of the Committee

a.   The committee will consist of nine men and three women who will be elected by the General Assembly according to Paragraph Twelve of the Articles of Association.

 

b.   The new committee will elect, at its first meeting, from amongst their members, the functionaries as follows:

1.      President – he/she is the official spokesman/spokeswoman on behalf of the Association and this according to the decisions of the members of the committee, and will be the chairman/ chairwoman of the weekly and annual meetings, will sign on all the reports and letters issued on behalf of the committee.

 

2.      Vice President – will stand-in for the President upon his/her absence and in the absence of both of them, the Secretary will be the stand-in.

 

3.      Secretary – will fully and entirely execute the resolutions of the committee, will sign on the letters issued, together with the President, will draw up the Minutes of the Assembly and write the reports and letters issued on behalf of the committee.

4.      The Vice Secretary will stand-in for the Secretary upon his/her absence.

 

5.      Treasurer

a)      Will punctually register the incomes and expenses, deliver and receive receipts required according to the resolutions of the committee and will be considered the person primarily responsible over the monies of the Association, towards the committee and the General Assembly.

 

b)      The treasurer will have the right to hold, in his/her possession, a specific amount of money that will be determined by the Committee of the Association at the time, and this for emergency purposes.

 

c)      The treasurer of the Association has to submit an annual report regarding the Balance Sheet of the Association.

 

d)      The members of the committee have the right to demand from the treasurer to submit the Balance Sheet of the Association at any time.

 

6.      Deputy Treasurer - will stand-in for the treasurer upon his/her absence.

 

Eighth Paragraph – Duties of the Members of the Committee

a.   The committee will made efforts in order to perform the purposes of the Association according to that indicated in this Articles of Association.

 

b.   The committee will do everything possible to unite the members of the congregation around the purposes of the Association and its goals and to join up.

 

c.   The number of the members of the committee must be not less than five members, and if it will not be five members, a new member must be elected according to Paragraph Twelve of the Articles of Association.

 

Ninth Paragraph – Powers of the Committee

                        The powers of the committee derive from the Articles of Association and it is entitled to:

a.   To withdraw monies from the Association in order to execute the purposes of the Association and its goals stipulated in this Articles of Association, on condition that will not be at the expense of the help to the needy people of the Orthodox Congregation in Ramla.

 

b.   To convene the General Assembly to an emergency assembly at the time that it is needed.

 

c.   To be assisted by individuals of the members of the Association in order to achieve the purposes of the Association and its goals.

 

d.   To buy fixed and moveable assets, and this for the sake of the Association and to achieve its purposes.

 

e.   To perform all it deems necessary to achieve the purposes and goals of the Association.

 

Tenth Paragraph

                        The committee is entitled to sell, to mortgage and to lease, for a long period, any of the Association's assets, but only after the agreement of 75% (seventy five) of all the members of the General Assembly that paid membership fees for the same year.

Eleventh Paragraph – Sub Committees deriving from the Committee

a.   Finance Committee – will consist of three members from amongst the members of the committee and they are: the President, the Treasurer and the Secretary, whose main function is to sign on contracts, agreements, checks, deeds and all legal and official documents, etc. and this according to the committee's resolutions and which will be valid by the signature of the three of them together and after the consent of the committee and its registration in the Book of Meetings.

 

b.   Philanthropy Committee – will consist of three members from amongst the members of the committee. This committee will examine and handle the situation of the needy persons of the congregation and will submit a report in this matter to the committee; its main function is to submit the help that was decided on behalf of the committee to needy persons, in complete confidence and in privacy, to the congregation, especially prior to festivals.

 

c.   Culture Committee – will consist of part of the members of the committee and of the General Assembly. Its main function will be to arrange galas, shows, lectures, conventions, excursions, etc.

 

d.   Cemetery Committee – will consists part of the members of the committee and of the General Assembly. Its main function is to protect the cemetery of the congregation and to supervise it, including to determine the burial place of the deceased of the congregation at cemeteries of the congregation.

 

e.   The committee is entitled to establish other committees according to the needs.

 

Twelfth Paragraph – Election of the Committee Members

a.   The members of the committee will be elected from amongst the members of the General Assembly from time to time, every three years.

 

b.   The committee will publish, two months before the end of its legal cadence, about the opening of a pay off grace period of member fees in the Association for a period not less than three weeks.

 

c.   The committee, after closing the date of payment of membership fees in the office – will convene a General Assembly for elections that will be held two weeks after the dispatch of the invitations.

 

d.   The invitations of the members of the General Assembly will be done done by means of a written personal invitation to each member of the Association who paid membership fees.

 

e.   The elections meeting will be considered legal if the majority of the members of the Association who paid membership fees were present.

 

f.    Should the majority of the members of the Association not be present, the elections meeting will be postponed for a week and will take place on the same venue and at the same time and will be considered as legal with any number of members that will be present.

 

g.   The committee will submit a report regarding its activities and the Balance Sheet of the Association in the General Assembly.

 

h.   In this meeting, an election committee will be elected that will consist of five members who will be elected inform amongst the General Assembly and will not be from amongst the candidates to be members of the committee.

 

i.    The committee will supervise the elections activities.

 

j.    Slips stamped with the Association's rubber stamp will be distributed to the members in order to register the names of the candidates for the committee.

 

k.   The elections committee will visibly sort the votes and announce the results of the election.

      The Committee will inform the official offices and the institutions interested in the results of the elections.

 

l.    The names of those who were elected on second level will be kept in order that one of them will fill in for a member who will resign or - Heaven forbid! - will pass away.

Thirteenth Paragraph – Transfer and Receiving Actions between the Previous Committee and New Committee

a.   At the end of the elections, the founding committee will invite the members that were elected and the previous committee to participate in a transfer and receiving meeting.

 

b.   The transfer and receiving action between the previous committee and the new committee will be completed within one week from the end of the elections, and this in order to deliver to the new committee all the books and stamps, and the files and all pertaining to the Association.

 

c.   The signatures of the previous members of the committee will be cancelled in all banks or any other institution in which the monies of the Association are deposited, and will be replaced by the signatures of the new members of the committee.

 

d.   It is forbidden for the previous committee to avoid the transfer under any circumstances whatsoever.

e.   The founding committee of the elections will supervise the transfer and receiving actions and will register a report regarding the transfer and receiving, that will be signed by representatives of both parties as well as by the founding committee.

 

Fourteenth Paragraph – The Meetings

a.   The committee will convene at least one meeting every week, on a day that will be agreed by the members of the committee.

 

b.   No weekly meeting will be held if the majority of the members of the committee will not be present; the majority is at least five members.

 

c.   The committee will discuss, in its sessions, the matters related to the committee and will take its resolutions by majority vote.

 

d.   The committee will hold at least one annual General Assembly at which it will indicate its important activities for the past year.

 

e.   The members of the General Assembly will be present at the General Assembly and those present will have the opportunity to submit questions and to discuss them.

 

f.    The General Assembly will hear a detailed report about the Association's activities, from the President or the Secretary, and another report from the Treasurer regarding the Balance Sheet of the Association.

 

g.   It is forbidden for any one of the members of the committee to be absent from the weekly sessions and General Assembly without any legal reason.

 

h.   It is forbidden to anyone who was absent from the weekly sessions to oppose or to complain about any resolution that was taken by the majority.

 

i.    Everyone that will be absent from the sessions on three consecutive occasions, without legal reason, will be summoned by the committee, and [the committee] will hear him and, after that, will warn him that he cannot be absent again, otherwise the committee is entitled to dismiss him from his membership on the committee should he be absent another time.

 

Fifteenth Paragraph – Income and Expenses

The Association is based on its income as detailed below:

a.   Income from renting out its assets.

b.   Membership fees.

c.   Receipt of donations on Christmas and Easter holidays.

d.   Receipt of donations from donors in cases of jubilation or bereavement, etc.

Sixteenth Paragraph – Membership Fees

a.   Each of the Association members must pay the monthly membership fees of an amount of N. I. S. 50 per month or N. I. S. 600 for those who wish to pay an annual lump sum, and will receive a signed receipt against the payment, from the treasurer of from his substitute. Anyone who wishes to pay a higher amount, the difference will be considered a donation and will be added to the list of donations and no member will be entitled, in the case that he will wish to rescind his membership, at some future stage, to demand from the Association any amount that he has paid into the coffers, in any manner whatsoever.

 

b.   The amount of the Association membership fee can be changed in accordance with the resolution of the Committee.

 

c.   The annual membership fees will be paid one month prior to the holding of the annual general assembly meeting.

 

Seventeenth Paragraph – Festivities

The Association will hold annual festivities on the anniversary of the death of St. George which falls on 23rd of Nissan in the Eastern Calendar equivalent to the 6th day of the month of May in the Western Calendar.

 

Eighteenth Paragraph – Signatures

a.   The Committee will empower the President, the Secretary and the Treasurer  to sign, on behalf of the Association, on checks and bills and contracts and agreements and other documents.

 

b.   The signatures will be considered legal in conjunction with the stamp of the Association.

 

c.   Those stipulated above are not entitled to sign expect after the consensus of the majority of the members of the Committee and after recording in the minutes of the meeting.

 

Nineteenth Paragraph – Amendment of the Articles (The Constitution).

All the articles of this Articles of Association (such as Article 16 that determines the amount of the membership fee, etc.) can be amended and changed, added to and detracted from, in accordance with the circumstances and situations, on condition that these will meet with the approval of the majority of the members of the General Assembly, and will not affect the essence and the objectives for which this Association was founded.

 

Twentieth Paragraph  

In the case of the liquidation of the Association – Heaven forbid – the General Assembly will decide regarding what will be done with the monies and assets of the Association that remain after the clearing of the debts of the Association, should there be such and, in the event that the General Assembly will not decide regarding this, then all the monies will be distributed amongst the Orthodox charity organizations that the objectives and purpose of which matches the objectives and purposes of this Association.

 

Twenty First Paragraph

It is possible to act in accordance with this Articles of Association and it will be valid commencing from the date of the approval thereof by the General Assembly

 

Twenty Second Paragraph

These Articles of Association were confirmed at the General Assembly Meeting on March 19, 1983

These Articles of Association were confirmed and amended at the General Assembly Meeting on January 24, 2003.
